Publisher: Roaring Lambs Publishing

1. Rights to Publish

The Author hereby grants the publisher exclusive rights to publish in the English language in book form in all countries of the world, one literary work indicated or described above.

2. Representations And Warranties

The Author agrees they are the sole owner of the work, that they own the publishing rights to the work, and that the work does not contain any libelous matter, violate anyone’s civil rights, and infringe any existing copyright. The Author will hold harmless and indemnify Roaring Lambs from any recovery sustained because of any violations of copyright or this paragraph.

3. Delivery

The Author has or will deliver their manuscript as a Microsoft Word document in a digital form (email attachment or flash drive), to Roaring Lambs. Please retain one backup copy of all files that are sent. All files must be sent within six months after the agreement signing, or the agreement is null and void, the Author forfeiting any prepaid money. Manuscripts submitted to Roaring Lambs consultants for book production are considered submitted.

4. Copyright

The Publisher will secure an ISBN for the name of the book in the Author’s name and agrees to take all necessary steps to protect the copyright under the Universal Copyright Convention. Please note that the ISBN is a publishing identification and cannot be used for another book, another version of the book, or a different publisher. The Publisher will add the ISBN and publisher information to the copyright page and logos to the book cover and title page.

5. Author Prices and Royalties

Based on Amazon’s price to print the book, an Author’s Price will be established. (Most generally range from $4-$6 based on page count, size, hardcover or soft, etc.). The Author will be able to buy books from the Publisher at Author’s Price and retail them at whatever cost they choose. The Author will pay the shipping and taxes. Based on Author’s price, the Publisher will pay the Author a calculated royalty from all net proceeds of the Books sold.

a. Net proceeds mean all monies paid to the Publisher from the sale of the book, minus the cost of printing the book, the Book Seller’s profit (like Amazon) shipping, handling, and taxes. No royalties will be paid for copies purchased at the Author discount.

b. Royalties are paid quarterly by check. If the payment does not exceed $25, the payment will be held until the check reaches that minimum. Quarterly statements will accompany the checks and will be paid within 45 days of the end of March, June, September, and December.

5. Reversion and Termination

With 90 days written notification, the Author may terminate this agreement at any time. All fees paid to the Publisher are forfeited. After 2 years, with 90 days written notification, the publisher may terminate this agreement. The Book will be unpublished immediately, with royalties paid with the next quarterly report. Upon termination of this agreement, all rights granted to the Publisher will return to the Author.

Outstanding payments to Roaring Lambs or to its consultants will delay publication of your completed book or remove the book from publication until the balance is paid. This agreement cannot be terminated by the author until all outstanding payments have been made.

6. Insolvency

If the Publisher liquidates its business for any cause, this agreement will terminate automatically, and all rights granted to the Publisher will revert to the Author.

7. Reserved Rights

All rights of this Book are reserved to the Author for his use at any time. While this agreement is in effect, the Author has the right to publish or cause to be published in any form, excerpts, or summaries not to exceed 15 percent of the work.

8. Alteration, Assignment, Arbitration

Both parties of this agreement must agree upon any alteration, amendment, or re-assignment of this agreement. Any controversy or claim arising out of this agreement, or the breach thereof may be settled by arbitration in a manner agreed by the parties. This agreement will be construed in accordance with the laws of the state of Texas in the United States.

9. Inheritance

This agreement will be binding upon and inure to the benefit of the heirs, executors, administrators, and assigns of the Author, and upon and to the successors and assigns of the Publisher.

10. Expectations and Adjustments

a. No guarantees are made as to the salability or marketability of the published book. Nor is there a guarantee that the manuscript will be completely error-free, though all efforts will be made to make it so. A physical proof copy for print publications will be offered to the AUTHOR at the PUBLISHER’s expense. AUTHOR has the final approval for the submission of publication and bears the responsibility should errors be discovered after publication.

b. Once the project is in process, either party may terminate this Agreement with written notice, agreed to by both parties. Once work has begun on the project, the AUTHOR can expect to receive no more than a 25% refund in the case of termination of the agreement.

11. Body of Work

AUTHOR has furnished one (1) single manuscript, previously agreed upon. CONSULTANT will take the following actions for this one (1) manuscript for in support of the AUTHOR:

  • Complete a light proofread on the full manuscript particularly in reference to comma issues along with glaring errors such as duplicated or missing words or punctuation, misspelled words, or missing capital letters.

  • AUTHOR agrees to pay the CONSULTANT $250 for work through the entire manuscript to be prepaid. Author understands that more in-depth editing will be discussed, along with payment for such, prior to any work done

  • CONSULTANT agrees not to reproduce, give, or show any material received from AUTHOR unless agreed upon in writing.

a. AUTHOR’s fully edited and approved manuscript will be sent to the CONSULTANT as a Word document along with any of the following that is desired:

  • A dedication for the beginning of the book.

  • A high-resolution author headshot and a 75-word biography for the back cover.

  • Backmatter that is desired such as About the Author page (needing 250 to 400 words), Special Thanks or Acknowledgment page, A Letter to the Readers, etc.

b. CONSULTANT will take the following actions for this one (1) manuscript in support of the AUTHOR:

  • Using AUTHOR's vision, set up at least three front cover options and adjust the chosen cover to the author’s approval.

  • Complete the full cover with a back cover copy, headshot, and short author biography.

  • Using front cover design, create three (3) interior samples matching the tone and fonts of the cover and the theme of the book.

  • Using AUTHOR's choice, extend the design through the entire manuscript.

  • AUTHOR agrees to pay $801 for the entirety of the design process including full cover and paperback design.

c. CONSULTANT reserves the right to use final covers for promotional opportunities.

12. Publishing and Payments

The Publisher agrees to publish the book in a timely manner, no later than three months after the delivery of all required files and in accordance with the author’s needs (this timetable does not include time spent by consultants for book production work done on the manuscript). In the event of a delay from causes beyond the control of the publisher and/or the Author, the publication date may be extended or postponed accordingly. The book will be added to the Roaring Lambs website, an imprint icon for the Publisher will be added to the title page of the Work, and the Publisher’s information will be included on the copyright page.

a. The book will be established on Amazon as a paperback book for the prepaid prices of $549.

b. Total amount to be paid on this project is $1600. No further balance is expected unless agreed to by both the AUTHOR and the PUBLISHER for unexpected needed editing.

13. Agreement Confirmation

This agreement becomes null and void if not completed and returned with requested payment within thirty (30) days of the agreement date.
